This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless HVACmind and its owners, operators, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any decisions you make based on content or calculator results from this Site.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of such courts.
12. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision does not waive our right to enforce it later. These Terms constitute the entire agreement between you and HVACmind regarding your use of the Site.
